These Terms and Conditions govern your use of the MZZI Digitals website (mzzi.in) and any services provided by MZZI Digitals. By accessing our website or engaging our services, you agree to be bound by these terms. Please read them carefully before proceeding.
1. Acceptance of Terms
By accessing and using mzzi.in, you confirm that you are at least 18 years of age, have the legal authority to enter into agreements, and accept these Terms and Conditions in full. If you are accessing our website on behalf of a business or organization, you represent that you have the authority to bind that entity to these terms. We reserve the right to update these terms at any time, and continued use of our website following any changes constitutes your acceptance of the revised terms.
2. Services
MZZI Digitals provides digital marketing and related services including, but not limited to:
- Search Engine Optimization (SEO)
- Social media marketing and management
- Paid advertising campaigns (Google Ads, Meta Ads)
- Website design and development
- Content creation and strategy
- Brand identity and creative design
The specific scope, deliverables, and timelines for each engagement are defined in a separate Service Agreement or Statement of Work signed by both parties. In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement shall take precedence.
3. Payment Terms
Payment terms are as follows unless otherwise specified in your Service Agreement:
- Project-based work typically requires a 50% advance before work commences, with the remaining balance due upon project completion
- Monthly retainer services are billed at the beginning of each billing cycle
- Invoices are due within 15 days of the invoice date unless otherwise agreed
- Late payments beyond 30 days may incur a late fee of 2% per month on the outstanding balance
- All prices are exclusive of applicable taxes (GST) unless stated otherwise
We reserve the right to pause or suspend work on a project in the event of non-payment. Refunds, where applicable, are governed by the specific terms outlined in your Service Agreement.
4. Intellectual Property
All content on mzzi.in - including text, graphics, logos, images, and code - is the property of MZZI Digitals and is protected by applicable intellectual property laws.
Regarding deliverables created for clients:
- Upon receipt of full payment, clients receive ownership rights to final deliverables as specified in the Service Agreement
- MZZI Digitals retains the right to display completed work in our portfolio and marketing materials unless a confidentiality agreement is in place
- Clients must ensure that any materials provided to us (logos, images, content) do not infringe on third-party intellectual property rights
You may not reproduce, distribute, or create derivative works from our website content without prior written permission.
5. Client Responsibilities
To enable us to deliver effective services, clients agree to:
- Provide accurate, complete, and timely information required for project execution
- Grant necessary access to platforms, accounts, and assets as required
- Review and provide feedback on deliverables within agreed timeframes
- Ensure all content and materials provided comply with applicable laws and regulations
- Designate a primary point of contact for project communication
6. Limitation of Liability
MZZI Digitals shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website, including but not limited to:
- Loss of revenue, profits, or business opportunities
- Changes in search engine algorithms affecting SEO results
- Third-party platform policy changes affecting advertising campaigns
- Data loss or security breaches beyond our reasonable control
Our total liability in connection with any service shall not exceed the total fees paid by the client for that specific service in the three months preceding the claim. Digital marketing results are influenced by numerous external factors, and we make no guarantees of specific outcomes, rankings, or revenue.
7. Termination
Either party may terminate a service engagement by providing written notice as specified in the applicable Service Agreement. Upon termination:
- All outstanding invoices for work completed become immediately due and payable
- We will deliver all completed work and assets to the client within 14 business days
- Access to any accounts or platforms managed on the client's behalf will be transferred back
- Confidentiality obligations survive termination and remain in effect
8. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts located in India. We encourage resolution of disputes through good-faith discussion before pursuing formal legal proceedings.
